Terms of Service

1. Acceptance of these Terms

These Terms of Service (“Terms”) are a legal agreement between you and HHI Computer Guys LLC, d/b/a Quantum Core MIP (“Quantum Core MIP,” “we,” “us”) governing your use of the SMB Automate mobile application and smbautomate.com (the “Service”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

SMB Automate is a mobile application that serves as the interface to an AI automation agent that Quantum Core MIP configures and operates for your business. The agent assists with repetitive back-office and customer work (such as drafting estimates and messages, scheduling, follow-ups, and posting), and the app lets you review and approve what it does. The Service is human-in-the-loop: actions that contact customers or send money-related communications are presented for your approval, and you are responsible for the actions you approve.

3. Eligibility and accounts

You must be at least 18 years old and use the Service for business purposes. Accounts are provisioned by us or your administrator; there is no public self sign-up. You are responsible for keeping your credentials confidential and for all activity under your account, and you must notify us promptly of any unauthorized use.

4. License

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your organization’s internal business purposes.

5. Acceptable use

You agree not to: use the Service unlawfully or in violation of any applicable law or regulation; send messages without the legally required consent of the recipients (you are solely responsible for compliance with laws governing calls, texts, and email, including the TCPA and CAN-SPAM); infringe others’ rights; attempt to reverse engineer, decompile, or gain unauthorized access to the Service; interfere with or disrupt the Service; or use it to store or transmit malicious code. You are responsible for obtaining all consents needed to contact your customers and to process their data through the Service.

6. Your data

As between you and us, you retain all rights to your business and customer data. You grant us the rights necessary to host, process, transmit, and display that data to provide the Service. You represent and warrant that you have all rights and consents necessary to provide that data and to have us process it.

7. AI-generated content

The Service uses AI to generate drafts such as estimates and messages. AI output may contain errors and is provided for your review. You are responsible for reviewing, editing, and approving any content before it is sent or relied upon. We do not warrant that AI output is accurate, complete, or fit for a particular purpose.

8. Third-party services

The Service integrates with third-party tools you connect (such as your task board, calendar, messaging/SMS provider, and accounting software) and relies on third-party platforms (such as Apple, Google, and Cloudflare). Your use of those services is governed by their terms, and we are not responsible for third-party services.

9. Fees

Any fees for the Service and the underlying automation are set out in your separate agreement with Quantum Core MIP. These Terms govern your use of the app and website regardless of fees.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUM CORE MIP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU PAID NOTHING.

12. Indemnification

You agree to indemnify and hold harmless Quantum Core MIP from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your data, your use of the Service, or your violation of these Terms or of any law, including laws governing customer communications and consent.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

14. Governing law

These Terms are governed by the laws of the State of South Carolina, USA, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in South Carolina, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date, and material changes will be effective when posted or as otherwise required by law. Your continued use of the Service after changes take effect constitutes acceptance.

16. Apple App Store — additional terms

If you download SMB Automate from the Apple App Store, the following also apply and, in case of conflict with the rest of these Terms as to the Apple-sourced app, control:

These Terms are between you and Quantum Core MIP only, and not with Apple Inc. (“Apple”). Apple is not responsible for the app or its content.
Apple has no obligation to furnish any maintenance or support services for the app; Quantum Core MIP is solely responsible for maintenance and support.
The license granted for the app is a non-transferable license to use the app on any Apple-branded device that you own or control, as permitted by the App Store Usage Rules.
In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims are Quantum Core MIP’s responsibility.
Quantum Core MIP, not Apple, is responsible for addressing any claims relating to the app, including product-liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer-protection or similar law.
In the event of a third-party claim that the app or your use of it infringes intellectual property rights, Quantum Core MIP, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms as they apply to your license of the app, and Apple will have the right to enforce these Terms against you as a third-party beneficiary.
